General Terms and Conditions (GTC)
Version: July 2026. These GTC apply to contracts with businesses (B2B).
Convenience Translation. In case of dispute, the German version shall prevail.
1. General Basics / Scope
1.1 These General Terms and Conditions apply exclusively to all legal transactions between the Client and the Contractor (Management Consultant). The version valid at the time of the conclusion of the contract is decisive.
2. Scope of the Consulting Assignment
2.1 The scope of a specific consulting assignment is agreed upon contractually in each individual case.
3. Duty of the Client to Inform / Declaration of Completeness
3.1 The Client ensures that the organizational framework conditions at their place of business allow for work to proceed as undisturbed as possible during the fulfillment of the consulting assignment.
4. Safeguarding Independence
4.1 The contracting parties commit to mutual loyalty.
6. Protection of Intellectual Property
6.1 The copyrights to the works created by the Contractor (offers, reports, analyses, expert opinions, organizational plans, programs, performance descriptions, drafts, calculations, drawings, data carriers, etc.) remain with the Contractor.
6.3 Notwithstanding clause 6.1, for works intended by agreement for publication or distribution (in particular brand and logo developments, copy, websites, campaign and advertising material, and image and motion material): upon full payment of the agreed fee, the client receives the right of use required for the contractually intended purpose, including reproduction and distribution to that extent. The granting of exclusive rights of use, rights to preliminary drafts and uncommissioned concepts, and any use, modification or transfer to third parties beyond the contractual purpose require a separate agreement.
6.4 The consultant is entitled to present the services rendered and the works created for them as references, naming the client, unless confidentiality has been expressly agreed.
8. Liability / Damages
8.1 The Contractor is liable to the Client for damages – with the exception of personal injury – only in the case of gross negligence (intent or gross negligence).
Confidentiality & Use of AI Tools
The consultant may use AI-supported tools (e.g. for analysis, copy, image and motion production) to render the services. Confidentiality obligations remain unaffected: business secrets and personal data of the client are only entered into AI systems where this has been agreed or where the system used maintains confidentiality and does not use inputs for training purposes. The consultant complies with applicable legal requirements (in particular GDPR and the AI Act) and will, on request, inform the client about the main tools used.
13. Final Provisions
13.3 Substantive Austrian law is applicable to this contract. The place of jurisdiction is the location of the Contractor's professional establishment.
